# Terms of Service for Shopify Merchants

**Last updated:** 2026-09-02

These Terms of Service (“Terms”) form a binding agreement between you (the merchant installing or using Tacey, “you”, “Merchant”) and ONDUTYOPS LLC (“Tacey”, “we”, “us”), governing your access to and use of the Tacey application and related services (the “Service”).

## 1. Acceptance of these terms, and who may enter this agreement

By installing, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not have such authority, or if you do not agree with these Terms, you must not install or use the Service.

You must be at least 18 years old, and legally able to form a binding contract, to agree to these Terms on your own behalf.

## 2. The Service

Tacey is a Shopify application that provides:

- **Address validation**, checking a shopper’s shipping address against third-party validation providers as orders are placed, and surfacing a deliverability verdict, confidence score, and suggested correction where relevant. Address validation never blocks a sale, see Section 13.

- **Self-service order editing**, allowing a shopper, within a merchant-configured window, to view and correct their own order (for example, their shipping address) on Shopify’s own order-status page, without needing to contact the merchant’s support team.

- **Post-purchase upsell tools** (where enabled by the merchant), giving a shopper a further opportunity to add to their order before it ships.

The Service is provided to merchants who operate a store on the Shopify platform and who have installed Tacey from the Shopify App Store. The specific features, plans, and limits available to you are described in Section 5 and on our pricing page.

## 3. Shopify App Store terms and your Shopify agreement

Tacey is distributed exclusively through the Shopify App Store and operates as an app within the Shopify platform. Your use of Tacey is also governed by, and does not replace or override:

- **Shopify’s Merchant Agreement**, or the equivalent agreement governing your Shopify store; and

- **Shopify’s API License and Terms of Use**, which govern how any app, including Tacey, may access and use your store’s data.

If there is a direct conflict between these Terms and a mandatory provision of your agreement with Shopify, your agreement with Shopify governs your relationship with Shopify, and these Terms govern your relationship with us, to the extent each applies. Tacey is not a party to your agreement with Shopify, and Shopify is not a party to these Terms.

Shopify’s API Terms restrict apps from contacting a merchant’s customers by default. Because Tacey emails your shoppers directly as part of the Service (address-review notices, edit links, and reminders), your use of this feature depends on the consent you have given Shopify, and given your own shoppers, to be contacted by apps you install, see Section 9.

## 4. Accounts and eligibility

You access the Service through your Shopify admin account; Tacey does not maintain a separate password-based login. You are responsible for maintaining the security of your Shopify account and for all activity that occurs through it in connection with the Service, including activity by any staff account you grant access to your store.

You represent that the information you provide to us (including your contact details and any information Shopify shares with us on your behalf) is accurate and that you will keep it up to date.

## 5. Plans, order counts, and the counting window

### 5.1, The plans

Tacey is offered on six subscription plans, distinguished by order volume only, every plan includes the same features, and there is no feature available on a higher plan that is withheld from a lower one:

| PLAN | MONTHLY PRICE | ANNUAL PRICE | ORDERS PER COUNTING WINDOW |
| --- | --- | --- | --- |
| Tacey Starter | $29 | $290 | 750 |
| Tacey Growth | $49 | $490 | 1,500 |
| Tacey Scale | $79 | $790 | 2,500 |
| Tacey Pro | $129 | $1,290 | 5,000 |
| Tacey Advanced | $229 | $2,290 | 10,000 |
| Tacey High Volume | $399 | $3,990 | 20,000 |

There is no free plan. Every plan includes a 14-day free trial. Prices, plan names, features, and trial length are subject to change; the current prices and inclusions are always shown on our pricing page and in the Shopify App Store listing at the time of your subscription.

### 5.2, How the counting window works

Each plan’s order allowance is measured over a rolling 30-day window, anchored to the moment your subscription’s current billing cycle began, and rolling forward every 30 days from that anchor. It is not measured against your billing cycle itself, and it is not measured against a calendar month.

This distinction matters specifically if you are subscribed annually: your billing cycle runs for a full year, but your order allowance still resets every 30 days within that year, giving you the full monthly allowance roughly twelve times over your annual term, not once for the whole year. For example, a Tacey Starter merchant on an annual plan receives 750 orders in each rolling 30-day period throughout their annual subscription, not 750 orders total for the year.

Your free trial period counts toward your order allowance. A trial is a free period of access, not a free, uncapped allowance, orders processed during your trial count against the plan’s cap in the same way as orders processed after your trial ends.

If you reach your plan’s order limit before your counting window resets, we notify you in the app and prompt you to upgrade to a plan with a higher allowance. Reaching your limit does not disable your store’s checkout or block new orders; it means that address validation, self-service editing, and related features made available through the Service are not applied to orders in excess of your plan’s allowance until your window resets or you upgrade.

### 5.3, Changes to a plan’s inclusions

We may update the features included on any given plan going forward. We describe any such update in the Shopify App Store listing and, where the change is material and adverse to existing subscribers, provide reasonable advance notice.

## 6. Billing, trials, upgrades, downgrades, and cancellation

### 6.1, Billing runs through Shopify

All billing for the Service is handled through Shopify’s own billing system (Shopify’s recurring application charge and usage charge mechanisms), as part of your regular Shopify invoice. We do not collect, process, or store your payment card details at any point, Shopify does. By subscribing to a paid Tacey plan, you authorize Shopify to charge the payment method on file with your Shopify account according to the plan and billing interval (monthly or annual) you select.

### 6.2, Free trial

New subscriptions include a 14-day free trial on every plan. You may cancel at any time during the trial without being charged. If you do not cancel before the trial ends, your subscription automatically converts to a paid subscription at the plan and interval you selected, billed through Shopify.

### 6.3, Upgrades and downgrades

You may upgrade to a higher plan at any time; the upgrade takes effect immediately, and Shopify’s billing system determines any prorated charge for the remainder of your current billing period. You may downgrade to a lower plan; a downgrade takes effect at the start of your next billing cycle, so you retain access to your current plan’s allowance for the period you have already paid for. Because Shopify does not automatically move a merchant between plans, it is your responsibility to upgrade if your order volume is approaching or exceeds your current plan’s allowance.

### 6.4, Cancellation

You may cancel your subscription at any time by uninstalling the Tacey app from your Shopify admin, or through Shopify’s own app-subscription management. Cancellation takes effect at the end of your current billing period unless Shopify’s billing mechanics or applicable law require otherwise. See Section 17 for what happens to your data after cancellation.

## 7. Refunds

Except as required by applicable law or by Shopify’s own billing policies, fees paid for the Service are non-refundable, including for partial billing periods, unused portions of your order allowance, or a downgrade made partway through a billing period. Where Shopify’s billing platform provides for a refund or credit in a specific circumstance, that mechanism governs, and we cooperate with Shopify’s process where required.

This section governs fees you pay us for the Service. It is entirely separate from money that moves on a shopper’s underlying order (a refund or additional charge resulting from an order edit performed through the Service), see Section 10.3 for how that works.

## 8. Acceptable use

You agree not to, and not to permit any third party to:

- use the Service in violation of any applicable law, or in a manner that infringes the rights of Shopify, a shopper, or any third party;

- use the Service to process, or attempt to process, orders you know to be fraudulent, or to conceal fraudulent activity;

- attempt to gain unauthorized access to the Service, to another merchant’s data, or to the infrastructure underlying the Service;

- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;

- use the Service to send unsolicited communications to shoppers beyond what the Service is designed to do (transactional communications about a shopper’s own order), or in violation of applicable anti-spam law or Shopify’s own API Terms;

- interfere with or disrupt the integrity or performance of the Service, or attempt to bypass any rate limit, order cap, or security control;

- use the Service to collect or harvest personal data other than as necessary to operate your own store; or

- resell, sublicense, or provide the Service to any third party as your own offering without our prior written consent.

We may investigate and take appropriate action against any violation of this section, including suspending or terminating your access to the Service (see Section 16).

## 9. Merchant responsibilities, including consent to contact your own shoppers

As the merchant operating your own store, you are responsible for:

- ensuring the accuracy of the store, contact, and billing information you provide;

- configuring the Service’s settings (edit windows, enabled tools, regional validation scope, and similar options) in a way that is appropriate for your business and your shoppers;

- maintaining your own compliance with data protection law, consumer protection law, and any other law applicable to your business as the controller of your shoppers’ personal data, Tacey acts as your processor for that data, as described in our Privacy Policy, and processes it only on your instructions as expressed through your configuration of the Service;

- **obtaining and maintaining any consent required for Tacey to email your shoppers on your behalf.** Shopify’s API Terms restrict apps from contacting a merchant’s customers by default, and the exception that permits it depends on the consent framework in Shopify’s own Merchant Agreement. Because the Service emails your shoppers directly, a review notice for a flagged address, a link to edit their order, and a reminder before an edit window closes, it is your responsibility to ensure you have the consent and legal basis required, under your agreement with Shopify and under applicable law (including anti-spam and privacy law in your shoppers’ jurisdictions), for these communications to be sent. This is not a discretionary or minor provision, it is the basis on which the Service is permitted to operate as described, and your continued use of the shopper-communication features of the Service is your representation that this consent and legal basis exists;

- notifying us promptly if you become aware of any unauthorized access to your account or any security incident affecting your use of the Service; and

- your own compliance with any third-party terms applicable to services you connect to the Service, such as your fulfillment providers.

## 10. How the Service behaves: validation, edits, and money

This section states the operating principles that govern how Tacey behaves, as terms of the agreement rather than as marketing description, because they define what you are actually agreeing to run on your store.

### 10.1, Address validation never blocks a sale

Address validation is designed to fail open: if a validation provider is unavailable, times out, or returns an error, the order proceeds exactly as it would without the Service, and the order is marked as unable to be verified rather than being treated as invalid or blocked. A validation verdict is a data-quality signal, not a guarantee of deliverability, and it is not a substitute for a shopper’s or a carrier’s own determination of whether an address can actually receive a delivery. See Section 13.

### 10.2, Edits that cannot be safely performed are refused, not guessed

Certain categories of order cannot be safely edited through the Service, including (as of the date of these Terms) orders paid through Shop Pay Installments, orders created by another application, orders using local delivery, orders with a pending (uncaptured) payment, orders in a currency other than the store’s currency, and orders placed before a Shopify platform date after which certain order data is not reliably available. Where an order falls into one of these categories, the Service refuses to offer the edit, or refuses to perform it, rather than attempt an edit that could produce an incorrect or unrecoverable result. This list may be updated as Shopify’s own platform capabilities change.

### 10.3, Money movement is never silent and never automatic

No money moves as a result of an order edit without an explicit confirmation at the time of the edit, and no setting that would cause money to move automatically is ever enabled by default. Where an edit reduces the value of an order, any resulting refund is calculated using Shopify’s own refund-calculation mechanism, never a value we compute by hand, and is subject to Shopify’s own platform ceiling preventing a refund from exceeding the amount actually paid. Where an edit increases the value of an order, any additional charge is initiated only through an explicit, confirmed step, and is never charged automatically to a payment method on file without that confirmation.

### 10.4, Every edit is recorded

Every edit performed through the Service, whether initiated by a shopper or by a merchant, is recorded in a reconciliation ledger describing what changed, the value before and after the change, whether money moved and how much, who initiated the change, and whether the change was confirmed downstream. This record exists on every plan, without exception, so you can verify what happened to any order edited through the Service.

## 11. Intellectual property

The Service, including its software, design, branding, and documentation (but excluding your own store data and any data belonging to your shoppers), is owned by us or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes in connection with operating your Shopify store. You retain all rights to your own store data. Nothing in these Terms transfers any ownership right in the Service to you.

You grant us a limited license to use your store and account information as necessary to provide, maintain, and improve the Service, consistent with our Privacy Policy.

## 12. Third-party services and vendor availability

The Service relies on third-party infrastructure and API providers, including Shopify itself, our hosting and data-storage provider, our address-validation providers, and our transactional-email provider (see our Privacy Policy for the current list). We do not control, and are not responsible for, the availability, accuracy, or performance of these third-party services. Where a third-party provider is unavailable, the Service is designed to fail open on validation (see Section 10.1) rather than to block your store’s checkout, but a third-party outage may still degrade or temporarily disable specific features of the Service.

## 13. Disclaimers and warranty exclusions

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we specifically disclaim any warranty that:

- **address validation is accurate, complete, or guarantees deliverability.** Validation results are produced by third-party providers and reflect their data and methodology at the time of the check; an address marked as valid may still be undeliverable, and an address marked as uncertain may still be deliverable. A validation verdict is a signal to assist your process, not a warranty of any kind about a shopper’s address;

- **address validation will never permit an order to ship to an incorrect address.** Because validation fails open by design (see Section 10.1), an order can and will proceed without a completed validation check under provider outage or error conditions;

- the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected;

- the Service will meet your specific requirements or expectations, or that it is suitable for any particular purpose beyond what is described in these Terms; or

- any third-party service the Service relies upon will remain available on the same terms, or at all.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law.

## 14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

- OUR TOTAL AGGREGATE LIABILITY arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, will not exceed the total amount you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

- These limitations apply regardless of the legal theory on which a claim is based, and even if a remedy fails of its essential purpose.

- Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including, where applicable, liability for death or personal injury caused by negligence, or for fraud.

## 15. Indemnification

You agree to indemnify, defend, and hold harmless Tacey and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service in violation of these Terms or applicable law; (b) your violation of any right of a shopper or third party, including any failure to obtain consent required to contact your shoppers as described in Section 9; or (c) content or data you submit to or through the Service.

## 16. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice, if: you materially breach these Terms and fail to cure the breach within a reasonable period after notice (where cure is possible); you violate Section 8; your use of the Service poses a security risk to us, to Shopify, or to another merchant; we are required to do so by Shopify or by law; or you fail to pay applicable fees through Shopify’s billing system and the resulting non-payment is not cured within the period Shopify’s billing terms provide.

You may terminate this agreement at any time by uninstalling the Service, as described in Section 6.4.

Sections that by their nature should survive termination, including Sections 11, 13, 14, 15, 17, 19, and 20, survive.

## 17. Data on termination

When you uninstall the Service or your subscription ends, we retain your data for a limited period in case you reinstall, and then delete it upon receiving Shopify’s mandatory `shop/redact` webhook (sent 48 hours after uninstall), as described in our Privacy Policy. If you would like a copy of your data before it is deleted, contact us before uninstalling, or promptly afterward, using the details in Section 21.

## 18. Changes to these terms

We may modify these Terms from time to time. If we make a material change, we provide reasonable notice, such as an in-app notice or an email to the contact address associated with your account, before the change takes effect. Your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Service and uninstall it before the change takes effect.

## 19. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service is resolved exclusively in the state and federal courts located in the State of Delaware, and each party consents to the personal jurisdiction of those forums.

## 20. General provisions

**Entire agreement.** These Terms, together with our Privacy Policy and any order form or plan description referenced at the time of your subscription, constitute the entire agreement between you and us regarding the Service, and supersede any prior agreements on the subject, except that they do not supersede your separate agreement with Shopify.

**Severability.** If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.

**No waiver.** Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

**Assignment.** You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

**Force majeure.** Neither party is liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, internet or infrastructure outages, or failures of a third-party provider described in Section 12.

**Relationship of the parties.** These Terms do not create a partnership, joint venture, agency, or employment relationship between you and us.
